1.1 Parties: These Terms of Service ("Terms") constitute a legally binding agreement between ABMS SOFTWARE LIMITED ("Company," "we," "us," or "Genesis-RM"), a company incorporated in the United Kingdom, and the individual or entity accessing our services ("User," "Customer," or "you").
1.2 Acceptance: By registering for an account, accessing https://genesis-rm.com (collectively, the "Service"), you verify that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that entity.
1.3 Third-Party Terms: Our Service integrates data provided by third-party providers. By using the Service, you also agree to comply with the terms and conditions of our data providers, including Tiingo, Inc.
1.4 Updates: We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Continued use after such changes constitutes acceptance.
2.1 SaaS Model: Genesis-RM is a cloud-based risk analysis platform. We do not sell software copies; we grant access to our hosted software.
2.2 Limited License: Subject to your compliance with these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and the market data contained therein solely for your internal business or personal analytical purposes.

2.4 Data Export Limitations: (i) No Bulk Exports: You are strictly prohibited from exporting the data provided through the Service in bulk form via any means (manual or automated). (ii) Limited Personal Use: Any limited export capabilities provided (such as "Export to Excel") are restricted to data pertaining to one or a few stock tickers. Any data so exported may only be used for personal research purposes.
3.1 No Financial Advice: The Service provides data visualization and mathematical risk models. We are a technology provider, not a financial advisor. Nothing in the Service constitutes investment, legal, or tax advice. You are solely responsible for your investment decisions.
3.2 No Reliance: You acknowledge that the Service is an analytical tool to support, not replace, your own investment research. You agree that you are solely responsible for your investment decisions.
3.2 Source Attribution: Market Data Sourced by Tiingo.com. You acknowledge that Tiingo and other upstream data sources retain all intellectual property rights to the raw data provided.
3.3 Data "As-Is": Market data is derived from third-party sources (including NYSE, NASDAQ, IEX, and others). We and our data providers provide this data "AS IS" and "AS AVAILABLE". We do not guarantee the accuracy, completeness, timeliness, or uninterrupted delivery of any market data.
3.4 Data Accuracy: Market data is derived from third-party sources. We do not guarantee the real-time accuracy, completeness, or timeliness of any market data or calculations displayed.
4.1 Credentials: You are responsible for maintaining the confidentiality of your login credentials. You accept responsibility for all activities that occur under your account.
4.2 Seat Licensing: Unless you have an "Enterprise" plan, accounts are single-user only. Sharing login credentials ("seat sharing") is strictly prohibited and may result in immediate termination.
5.1 Merchant of Record: Our order process is conducted by our online reseller, Creem. Creem is the Merchant of Record for all our orders. Usage of their checkout is subject to their Terms of Service.
5.2 Subscription Terms: Services are billed in advance on a recurring basis. Your subscription will automatically renew unless canceled at least 24 hours before the end of the current period.
5.3 Refunds: If you are not satisfied with the product, you can request a full refund within 14 days of your purchase. You do not need to provide a specific reason to be eligible.
5.3.1 How to Request a Refund: To request a refund, please contact us at support@genesis-rm.com or contact our Merchand of Records directly. Refund requests made after the 14-day window are not eligible for reimbursement.
6.1 Company IP: The Service, including its "look and feel," algorithms, risk models, source code, and databases, is the exclusive property of ABMS SOFTWARE LIMITED.
6.2 User Data: You retain ownership of any data you input into the system ("User Data"). You grant us a limited license to process this data solely to provide the Service to you.
7.1 "Confidential Information" means non-public information disclosed by either party. You agree not to disclose any non-public features or performance metrics of the Service to third parties. We agree to keep your User Data confidential.
8.1 You agree to indemnify, defend, and hold harmless ABMS SOFTWARE LIMITED, its officers, directors, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising out of:
9.1 Exclusion of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
9.2 Liability Cap: OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO THE CLAIM.
10.1 For Convenience: You may stop using the Service at any time.
10.2 For Cause: We may terminate or suspend your access immediately, without notice, if you breach these Terms (e.g., non-payment, account sharing, API abuse).
11.1 Governing Law: These Terms are governed by the laws of England and Wales.
11.2 Dispute Resolution: Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11.3 Force Majeure: We are not liable for failure to perform due to causes beyond our reasonable control (e.g., natural disasters, acts of war, AWS/cloud outages).
11.4 Severability: If any provision is found unenforceable, the remaining provisions will remain in full effect.
